1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and LATTIXE INC. ("Company", "we", "us", or "our") regarding your use of our software applications, including Oli ("App" or "Service").
By downloading, installing, or using our software, you agree to be bound by these Terms. If you do not agree, do not use our products.
2. Description of Service
Oli is a macOS application that uses artificial intelligence to monitor your posture via your computer's camera and provides visual feedback to encourage better posture habits. Key characteristics:
- All AI processing occurs locally on your device
- No video data is transmitted or stored remotely
- The App requires camera access to function
- The App provides informational feedback only and is not a medical device
3. User Accounts and Licenses
Free Tier: The free version of Oli provides 30 minutes of daily usage with full features.
Paid Subscriptions: Oli Pro is available as a monthly subscription ($9/month), yearly subscription ($38/year), or lifetime purchase ($67 one-time). Subscriptions are processed through Paddle (paddle.com) as our merchant of record.
License Grant: Upon purchase, we grant you a limited, non-exclusive, non-transferable license to use our software on devices you own or control, subject to these Terms.
4. Payment and Billing
All payments are processed by Paddle. By making a purchase, you also agree to Paddle's terms of service. Subscription payments are automatically renewed unless cancelled before the renewal date.
Prices are subject to change, but changes will not affect existing subscriptions until renewal.
5. Refunds
We offer a 14-day money-back guarantee. If you're not satisfied, contact us within 14 days of purchase for a full refund. See our Refund Policy for details.
6. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble our software
- Modify, adapt, or create derivative works
- Distribute, license, sell, or transfer our software or your license
- Use our software for any illegal purpose
- Circumvent any technical limitations or license restrictions
- Share your license key or transaction ID with others
7. Intellectual Property
Our software, including all content, features, and functionality, is owned by LATTIXE INC. and is protected by copyright, trademark, and other intellectual property laws. The LATTIXE name, Oli name, logos, and related marks are trademarks of LATTIXE INC.
8. Privacy
Your privacy is important to us. Please review our Privacy Policy, which explains how we handle information in connection with our software.
9. Disclaimer of Warranties
OUR SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that our software will be uninterrupted, error-free, or free of harmful components.
MEDICAL DISCLAIMER: Oli is not a medical device and is not intended to diagnose, treat, cure, or prevent any medical condition. The posture feedback is informational only. Consult a healthcare professional for medical advice.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATTIXE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SOFTWARE.
Our total liability shall not exceed the amount you paid for our software in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless LATTIXE INC. and its officers, directors, employees, and agents from any claims arising from your use of our software or violation of these Terms.
12. Termination
We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your license to use our software will cease immediately.
You may terminate by uninstalling our software. Cancel any active subscriptions through Paddle to prevent future charges.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Continued use after changes constitutes acceptance.
14. Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
15. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
16. Severability
If any provision of these Terms is unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and LATTIXE INC. regarding our software.
